The Reserve Bank of India (RBI) has turned down Tata Sons' application to surrender its Non-Banking Financial Company (NBFC) licence, virtually paving the way for the stock market listing of the holding company of the salt-to-software Tata Group, sources familiar with the matter said.

The central bank communicated its decision to Tata Sons in a letter received by the company’s key officials. The decision effectively mandates Tata Sons to adhere to regulatory guidelines governing Upper-Layer NBFCs (NBFC-UL). Under the central bank's SBR (Scale Based Regulation) framework, any non-banking financial company categorized under the Upper Layer is required to list its equity shares on public stock exchanges within three years of identification.

The RBI had classified Tata Sons as an Upper-Layer NBFC in September 2022 due to its systemic importance and size. In an effort to avoid a compulsory public listing, Tata Sons paid off its debt and sought to surrender its registration, aiming to operate purely as an unregistered Core Investment Company (CIC) or holding entity.
