Kaizad Bharucha, Deputy Managing Director of HDFC Bank and one of its longest-serving senior leaders, has requested to step down from the private lender effective December 31, 2026. The move marks a significant leadership transition at India’s largest private-sector bank, coming shortly after the regulator approved a new chief executive.
In a regulatory filing submitted to stock exchanges on Saturday, HDFC Bank confirmed that Bharucha requested cessation from service at the close of business hours on the final day of the year. The bank’s Governance, Nomination and Remuneration Committee (GNRC) and the Board of Directors accepted his request during meetings held on October 16 and 17, with the decision now forwarded to the Reserve Bank of India (RBI) for formal approval.
Leadership Transition and Succession
Bharucha had been one of two candidates shortlisted and proposed by the bank’s board to the banking regulator for the chief executive post.
However, his candidacy faced regulatory tenure limitations. Under RBI governance norms, an individual's continuous tenure as an MD, CEO, or whole-time director is capped at 15 years. Having served on HDFC Bank’s board as a whole-time director since June 2014, Bharucha would have reached the statutory 15-year ceiling in June 2029. Without a regulatory exemption, he would have been unable to serve a complete three-year term at the helm.

Over Three Decades of Institutional Memory
Bharucha’s planned exit brings to a close a 31-year tenure at the bank. He joined HDFC Bank in October 1995 during its formative years and rose through the ranks over a four-decade career in the financial services sector.
Appointed Deputy Managing Director in April 2023, he played a central role in supervising wholesale banking, credit underwriting, and risk governance architectures. Notably, Bharucha co-chaired the integration committee tasked with executing the operational and cultural merger between mortgage lender Housing Development Finance Corporation (HDFC Ltd) and HDFC Bank.
The bank has not yet named a successor for the Deputy Managing Director position.
