Astrotalk Enters Unicorn Club at USD 1 Billion Valuation Through Profit-Funded ESOP Buyback

Astrotalk has entered India’s unicorn club after completing an employee stock option (ESOP) buyback that valued the company at USD 1 billion, or around INR 9,500 crore. The transaction involved more than 100 employees and was funded from profits generated by the company’s operations rather than fresh capital from investors.

Noida-based astrology and spiritual-tech platform Astrotalk has entered India’s unicorn club after completing an employee stock option (ESOP) buyback that valued the company at USD 1 billion, or around INR 9,500 crore. The transaction involved more than 100 employees and was funded from profits generated by the company’s operations rather than fresh capital from investors.

The latest valuation represents a sharp increase from Astrotalk’s previous publicly reported funding valuation of around USD 300 million in June 2024. At that time, the company raised USD 9.5 million from existing investors Left Lane Capital and Elev8 Venture Partners. OpenAI Share Buyback: ChatGPT Maker Completes USD 7 Billion Employee Share Buyback, Holds USD 852 Billion Valuation.

Astrotalk Reaches USD 1 Billion Valuation

The ESOP buyback has given more than 100 employees an opportunity to sell part of their vested stock options and realise some of the value created by the company's growth.

Astrotalk has not disclosed the total value of the ESOP liquidity programme. Unlike a conventional funding round, the transaction did not involve a fresh capital infusion from external investors. CUPID Ltd. Stock Update: Shares Consolidate After Stellar Q1 FY27 Results.

“Over the years, Astrotalk has focused on building a profitable and sustainable business. The fact that we are able to undertake this ESOP buyback using the profits generated by the company makes this milestone especially rewarding," co-founder and CEO Puneet Gupta said.

The company said its ability to fund the employee liquidity programme through operational profits reflects its focus on building a profitable and sustainable business.

From USD 300 Million To Unicorn Status

Astrotalk's previous publicly reported valuation was around USD 300 million following its June 2024 funding round. The company raised USD 9.5 million in that round, with Left Lane Capital and Elev8 Venture Partners participating.

Left Lane had previously invested USD 20 million in Astrotalk in February 2024. The company had planned an ESOP buyback even then, with the stated aim of creating wealth for employees. The latest transaction marks a significant jump in the company's valuation in roughly two years, although the USD 1 billion figure comes from the ESOP liquidity event rather than a new institutional funding round.

Who Has Invested In Astrotalk?

Astrotalk's institutional backers include New York-based Left Lane Capital and Indian growth-stage investor Elev8 Venture Partners.

Left Lane Capital invested $20 million in February 2024. It subsequently participated with Elev8 Venture Partners in the June 2024 round, which raised another USD 9.5 million and valued Astrotalk at around USD 300 million.

The company was founded in 2017 by Puneet Gupta and Anmol Jain. It initially built its business around connecting users with astrologers through its digital platform and has since expanded into related spiritual and commerce categories.

What The ESOP Buyback Means For Employees

The ESOP buyback allows participating employees holding vested stock options to sell part of their holdings and receive liquidity before a potential public listing or another major corporate event.

Astrotalk co-founder Anmol Jain said the initiative is aimed at rewarding employees for their contribution and strengthening an ownership culture within the company.

The USD 1 billion valuation also provides a reference point for the value of employees' holdings. However, the actual amount received by an individual employee depends on the number and type of shares or options held and the terms of the buyback.

Profitability Becomes A Key Part Of The Story

Astrotalk's path to unicorn status is notable because the company is highlighting operational profitability rather than a new external capital raise as the source of the employee liquidity programme.

The company reported strong growth in FY24, with revenue more than doubling to INR 651 crore from INR 283 crore in FY23, while profit rose to INR 100 crore from INR 8 crore, according to data cited by Mint.

More recent reporting has also pointed to continued app-led growth and expansion into areas such as commerce. Astrotalk Store generated more than INR 140 crore in FY25, according to Indian Retailer.

Astrotalk Looks To Expand Globally

The company is now looking to expand its international presence while continuing to invest in technology and talent. Astrotalk has previously identified international markets including the US, Canada, the UK and the Middle East as areas for expansion.

Its platform currently spans astrology and related services, including Vedic astrology, tarot, numerology, Vastu and kundli matching. With the latest ESOP transaction, Astrotalk joins India's unicorn cohort at an USD 1 billion valuation, reaching the milestone through a combination of business growth, profitability and an internally funded employee liquidity event rather than a conventional fundraising round.
