According to the draft red herring prospectus (DRHP), prominent corporate law firms Shardul Amarchand Mangaldas & Co (SAM), Cyril Amarchand Mangaldas (CAM), Latham & Watkins LLP, and White & Case LLP are steering the legal complexities of the transaction. The massive public issue consists of a fresh offering of up to 270 million equity shares of face value INR 10 each, with market reports indicating Jio Platforms aims to raise approximately USD 3.8 billion.

Over a six-month window, the digital giant raised an unprecedented INR 1,52,056 crore by offloading a collective 32.97 per cent stake to prominent global tech firms and private equity majors. During that 14-deal fundraising streak between April and July 2020, major tech corporations including Facebook (INR 43,574 crore for a 9.99 per cent stake) and Google (INR 33,737 crore for a 7.73 per cent stake) entered the cap table. Global investment entities such as Silver Lake, Vista Equity Partners, KKR, Mubadala, ADIA, TPG, and the Public Investment Fund (PIF) also secured stakes. AZB & Partners and international firm Davis Polk & Wardwell served as the primary legal architects for the majority of those capital-raising transactions, laying the corporate groundwork for the upcoming USD 3.8 billion public listing.
