Visual content provider Getty Images filed for Chapter 11 bankruptcy protection on Wednesday, advancing a debt-restructuring agreement announced last week that will transition the publicly traded company into private ownership.

The prepackaged filing, submitted to the U.S. Bankruptcy Court for the District of Delaware, marks a critical turning point for the legacy agency as it navigates significant debt obligations and rapid disruption across the commercial media landscape.

Ownership Shift and New Financing

Under the proposed reorganization, affiliates of the founding Getty family and Koch Equity Development will acquire 100% equity ownership of the restructured business. German Electric Mobility Association, BEM, Files for Bankruptcy Amid Difficult Development of Automotive Industry in Country.

To fund the buyout and support ongoing liquidity, Koch Equity Development committed up to $533 million in new equity, alongside debtor-in-possession financing of up to $143 million to carry the company through the court process.

Court filings place Getty's estimated assets and liabilities each within the range of $1 billion to $10 billion. The company confirmed on Wednesday that it has initiated formal vote solicitation among creditors to confirm its plan, with targeted completion by the end of the year.

Industry Headwinds and Failed Merger

The bankruptcy filing follows months of heightened operational pressure. Earlier this year, a planned $3.7 billion merger between Getty and longtime competitor Shutterstock collapsed, eliminating a key path to scale and balance-sheet relief. Amazon Aggregator Thrasio Files for Bankruptcy in US To Reduce Its Losses From Massive Debt Loan: Report.

Like many stock-photography platforms, Getty has faced intensifying headwinds from generative artificial intelligence tools, which have reshaped commercial demand for stock images and lowered entry barriers across creative industries. Concurrently, high servicing costs on legacy borrowings strained cash flows, prompting leadership to seek a comprehensive balance-sheet overhaul.

Continuity in Daily Operations

Getty emphasized that the Chapter 11 process will not disrupt ordinary business functions.

The agency, which serves global commercial brands and directly competes with wire services such as the Associated Press and Reuters in editorial photography and video distribution, affirmed that licensing services, customer accounts, and vendor contracts will continue uninterrupted.

Platform contributors and staff are expected to remain unaffected as the company works toward final court confirmation and private closing in the fourth quarter.
